Association AGM support: a planning guide for secretariats

The committee has set a date for the annual general meeting, and the secretariat has been asked to organise the day.

The short answer

Separate two jobs: the formal meeting, whose rules belong to the association's constitution, its officers and the registry that oversees it, and the event around it, which is room, registration, materials, access and records handling. Support covers the second, and prepares questions for the people who own the first.

Start by asking the questions in the pack below. Do not announce notice periods, quorum, proxy or voting rules yourself unless an officer has confirmed them from the constitution.

Question pack for the officers and the constitution

  • Who formally calls the meeting, and how is notice to be given and by when?
  • What must the notice and agenda contain, and who approves the final text?
  • How is quorum defined, who confirms it on the day, and what happens if it is not met?
  • Are proxies, postal or electronic votes allowed, and what proof is required?
  • Who is entitled to attend, speak and vote, and who checks that at the door?
  • How will votes be counted and recorded, and by whom?
  • Which documents are for members only, and when are they released?
  • Is any registry filing or confirmation needed after the meeting, and who handles it?

Check the registry's own guidance

Ask the association's officers which registry or authority oversees it and what guidance it publishes for general meetings. Read that guidance yourselves if you can, and cite it in your planning pack. If the answer is unclear, ask the registry or a legal adviser rather than inferring it.

Event logistics once the rules are known

  1. Confirm date, time and venue, and what the venue needs in writing.
  2. Plan registration and check-in to match the eligibility rule you were given.
  3. Plan the room: seating, microphones, voting method set-up, accessible access and a quiet area for counting.
  4. Plan a run-sheet that separates the formal meeting from any social or conference element.
  5. Plan the handover of attendance records, papers and results to the authorised officer.

A secretariat's first AGM support plan

A fictional professional association, Persatuan Fiktif Penilai Profesional, expects about 180 members at its AGM in Kuala Lumpur. The honorary secretary hands the secretariat a short list: venue, registration, microphones and printing.

The secretariat replies with the question pack and asks the secretary to confirm each answer from the constitution before the registration form is built. Three days later the secretary returns the eligibility and proxy rules in writing. The secretariat then plans the check-in desk and room, and agrees that the secretary alone declares quorum on the day.

Handle it in-house, or bring in help?

Your team can usually handle this when

  • The secretary or officers hold the rules and reply quickly.
  • The meeting is a short formal session in a familiar venue.
  • No hybrid or combined conference element.

Outside planning help earns its fee when

  • Officers are unsure who owns which decision, or the constitution is unclear.

Questions organisers ask

Can the event team tell members the notice period or quorum?

Only after an officer has confirmed it from the constitution, in writing. Event support relays the confirmed text and does not set or interpret the rule.

Does a project lead count votes?

Only if the authorised officer asks for logistical help, such as setting up a voting area. The counting and declaration stay with the authorised person.

Should the AGM be a separate event from the conference?

Either can work. Decide as a committee, keep the formal meeting clearly distinct, and check any combined arrangement against the constitution.
