Event committee terms of reference

The committee meets, discusses and leaves, and next month nobody is sure what it was allowed to decide.

The short answer

Terms of reference say what the event committee is for, what it may decide, who sits on it, how it meets and decides, and who it reports to. One to two pages is enough.

They must fit inside your constitution, board delegation or company policy. If they conflict with those, the higher document wins and the terms need amending.

Check against your governing rules

Before adopting the terms, read them against your constitution or company approval policy. Ask the secretary or your legal or company secretarial contact to confirm anything on quorum, voting and signing authority.

This page does not tell you what your own rules require. It gives you the headings and questions to bring to the person who knows.

Keep it usable

  • Write in role names so the terms survive a change of person.
  • Put limits as figures approved by the parent body, not figures you picked.
  • Link the terms to your RACI matrix and decision-rights matrix rather than repeating them.

Adopt and refresh

  1. Draft with the chair and secretary.
  2. Send to the parent body for approval.
  3. Read the terms aloud at the first meeting and record adoption.
  4. Give each new member a copy during handover.
  5. Review at the midpoint of the event cycle.

Worked example · Fictional example

Terms for a fictional annual-conference committee

Fictional organisation and figures. Numbers are illustrative.

The council of a fictional teachers' association appoints a nine-member conference committee for eight months. The terms say the committee may approve programme and suppliers within the budget the council approved, and must return to council for anything beyond it.

Quorum is five, including the chair or deputy chair. Papers go out five working days before each fortnightly meeting. Members declare links to any supplier or speaker before the item is discussed, and the minutes record it. The conference lead reports to council monthly.

Handle it in-house, or bring in help?

Your team can usually handle this when

  • Your parent body has a standard template and a secretary who can fill it.
  • The committee has existed for several years with settled roles.
  • The event is small and decisions are few.

Outside planning help earns its fee when

  • The committee is newly formed or co-hosted, and authority is unclear.
  • Previous events ended in disputes about who agreed what.
  • Nobody has time to turn the governing rules into a working one-pager.

One to two pages. Anything longer tends to be unread.

Usually the parent body, such as the board or council. Check your own governing rules.

Do we need them for a small committee?

A short version still helps. Writing down authority and reporting avoids arguments later.
